WEBSITE TERMS OF USE

These Website Terms of Use (“Terms”) govern access to and use of the website located at prixfixe.accountants and any related subdomains (the “Site”), operated by CBSolutions, Inc. d/b/a Prix Fixe Accounting (“Prix Fixe Accounting,” “PFA,” “we,” “us,” or “our”). By accessing or using the Site, you (“you” or “User”) agree to be bound by these Terms. If you do not agree, do not use the site.

These Terms govern only your use of the Site. If you become a client of Prix Fixe Accounting, the accounting, bookkeeping, payroll, and related services we provide to you are governed by a separate, signed engagement letter between you and Prix Fixe Accounting, the terms of which control over these Terms with respect to those services in the event of any conflict.

1. Acceptance of Terms

By accessing or using any part of the Site, you accept these Terms in full. If you are accessing or using the Site on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms, and “you” refers to that entity as well as to you individually.

2. Changes to These Terms

We may update these Terms from time to time by posting a revised version on the Site with a new Effective Date. Changes are effective when posted. Your continued use of the Site after a revised version is posted constitutes your acceptance of the changes. We encourage you to review these Terms periodically.

3. Eligibility

The Site is intended for business owners, operators, and professionals in the restaurant and hospitality industry and is not directed to individuals under the age of 18. By using the Site, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms. We do not knowingly collect personal information from children under 13 through the Site, and if we learn that we have done so, we will delete it.

4. No Professional Relationship; No Advice

The Site, including its blog posts, webinars, service-description pages, “How It Works” content, and any other material we publish on the Site (collectively, “Content”), is provided for general informational and educational purposes only. Content is not accounting, tax, legal, financial, investment, or other professional advice tailored to your specific circumstances, and you should not rely on it as such.

Reading the Site, submitting the contact form, registering for a webinar, or otherwise communicating with us through the Site does not create an accountant-client relationship, an engagement, or any other professional relationship between you and Prix Fixe Accounting. That relationship begins only when both you and Prix Fixe Accounting sign a written engagement letter. Please do not send confidential or sensitive information — including financial account numbers, login credentials, or Social Security numbers — through the Site's contact form or any other unencrypted channel before an engagement letter is in place.

5. Permitted Use of the Site

You may view and use the Site for your own personal or internal business reference in evaluating our services. You agree not to:

  • copy, reproduce, republish, distribute, or create derivative works from the Site or its Content except as expressly permitted by these Terms;

  • use any automated means (bots, scrapers, crawlers, data-mining tools) to access or collect data from the Site, other than standard search-engine indexing;

  • interfere with or disrupt the Site, its servers, or its security features;

  • attempt to gain unauthorized access to any account, system, or network connected to the Site;

  • use the Site to transmit any virus, malware, or other harmful code;

  • impersonate any person or entity or misrepresent your affiliation with any person or entity; or

  • use the Site for any unlawful purpose or in violation of these Terms.

6. User Submissions and Contact Forms

When you submit information through the Site's contact form, webinar registration, or similar features, you represent that the information you provide is accurate and that you have the right to provide it. We may use information you submit to respond to your inquiry, provide the materials you requested, and, where you have opted in, to send you newsletters, webinar notices, or other marketing communications; you may opt out of marketing communications at any time using the unsubscribe or opt-out method provided in that communication.

Except as set out in a signed engagement letter or a separate confidentiality agreement, information you submit through the Site's general contact or marketing features is not treated as confidential or privileged, and no attorney-client, accountant-client, or other privileged relationship is created by submitting it.

7. Text Messaging (SMS) Program

If you opt in to receive text messages from Prix Fixe Accounting, that program is governed by our Privacy Policy, available at prixfixe.accountants/privacy, which is incorporated into these Terms by reference. Message and data rates may apply, message frequency varies, and you may opt out at any time by following the instructions in that policy.

8. Intellectual Property

The Site and its Content — including text, graphics, logos, the “Prix Fixe Accounting” name and marks, webinar recordings, videos, and downloadable materials — are owned by Prix Fixe Accounting or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 5, nothing in these Terms grants you any right, title, or interest in the Site or its Content. All trademarks, service marks, and trade names appearing on the Site are the property of their respective owners, and their appearance on the Site does not imply any affiliation with or endorsement by their owners.

9. Copyright Complaints

If you believe material on the Site infringes your copyright, please send a written notice to the contact address in Section 20 identifying: the copyrighted work you believe has been infringed; the material you believe is infringing and its location on the Site; your contact information; and a statement that you have a good-faith belief the use is unauthorized and that the notice is accurate, made under penalty of perjury. We will review and respond to good-faith notices.

10. Third-Party Links and Content

The Site may link to or reference third-party websites, point-of-sale or accounting software platforms, webinar guests, or other third-party content that we do not control — including our careers page, hosted separately at jobs.prixfixe.accountants. We are not responsible for, and do not endorse, the content, accuracy, or privacy or security practices of any third-party site or service. Your use of any third-party site is at your own risk and is subject to that site's own terms.

11. Privacy

Our collection and use of personal information submitted through the Site is described in our Privacy Policy, available at prixfixe.accountants/privacy. By using the Site, you consent to the collection and use of your information as described there.

12. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, OR THAT THE SITE WILL BE ACCURATE, COMPLETE, SECURE, OR UNINTERRUPTED. WE DO NOT WARRANT THAT THE SITE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRIX FIXE ACCOUNTING AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).

This Section applies only to your use of the Site. It does not apply to, and does not limit, any liability arising under a separately signed engagement letter, which is governed by its own terms, including its own limitation of liability.

14. Indemnification

You agree to indemnify, defend, and hold harmless Prix Fixe Accounting and its owners, employees, and agents from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Site or your violation of these Terms.

15. Termination of Access

We may suspend or terminate your access to all or part of the Site at any time, without notice, for any reason, including if we believe you have violated these Terms.

16. Governing Law; Dispute Resolution

These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the state or federal courts of Massachusetts, with venue in Berkshire County with respect to state court proceedings and Springfield, Massachusetts with respect to federal court proceedings, and you consent to the personal jurisdiction and venue of those courts.

17. Electronic Communications

By using the Site, you consent to receive communications from us electronically, including by email and, where you have opted in, by text message. You agree that any notice, agreement, or other communication we provide electronically satisfies any legal requirement that such communication be in writing.

18. Accessibility

We are committed to making the Site accessible to all users. If you experience difficulty accessing any part of the Site, please contact us using the information in Section 20 so that we can assist you and address the issue.

19. General Provisions

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision or any other provision. You may not assign these Terms; we may assign these Terms in connection with a merger, acquisition, or sale of assets. These Terms, together with any documents they expressly incorporate by reference, are the entire agreement between you and Prix Fixe Accounting regarding your use of the Site.
